By engaging our services or using our website, you agree to comply with and be bound by these Terms.
By accessing our website, requesting a quote, placing an order, or engaging our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
These Terms apply to all visitors, users, clients, and others who access or use our services, including but not limited to website development, application development, graphic design, SEO services, and digital marketing.
WEB Graphics Studio offers a comprehensive range of digital services including website development, e-commerce development, mobile application development, UI/UX design, SEO services, social media marketing, branding, graphic design, ERP & CRM development, software development, CCTV & security solutions, and digital signage solutions.
The scope of each project will be defined in a written proposal or agreement provided to the client before commencement. Any changes to the agreed scope may result in additional charges and timeline adjustments, which will be communicated to the client in advance.
All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (GST) unless stated otherwise.
Invoices are due within 15 days of issuance. Late payments may attract an interest charge of 1.5% per month on the outstanding amount. We reserve the right to suspend services on accounts with overdue payments.
The advance payment is non-refundable once work has commenced. Refunds for partial work completed will be assessed on a case-by-case basis. No refunds will be provided after final delivery and client sign-off.
Upon full payment, all custom-designed materials, code, and deliverables created specifically for the client's project will be transferred to the client. We retain the right to showcase the work in our portfolio unless otherwise agreed.
Projects may include third-party software, plugins, fonts, images, or frameworks that are subject to their own licensing terms. The client agrees to comply with all applicable third-party licenses.
Any pre-existing tools, frameworks, templates, or code libraries developed by WEB Graphics Studio remain our intellectual property. The client is granted a non-exclusive license to use these components within the delivered project.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the agreement for a period of two (2) years.
Confidential information includes, but is not limited to, business strategies, technical specifications, user data, financial information, and trade secrets.
We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day bug fix warranty from the date of final delivery for any defects directly attributable to our work.
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business outcomes, search engine rankings, or revenue increases.
To the maximum extent permitted by applicable law, WEB Graphics Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or related to our services.
Our total liability for any claim arising under these Terms shall not exceed the total fees paid by the client for the specific project in question.
The client may terminate a project by providing written notice. The client will be responsible for payment for all work completed up to the date of termination, plus any non-refundable third-party costs incurred.
We reserve the right to terminate a project if the client fails to make payments when due, fails to provide required materials or feedback after reasonable notice, or engages in conduct that materially breaches these Terms.
The client agrees to indemnify and hold harmless WEB Graphics Studio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from the client's use of our deliverables, any content provided by the client, or any breach of these Terms by the client.
These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation before resorting to arbitration or litigation.
Arbitration, if required, shall be conducted in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996, and the decision of the arbitrator shall be final and binding.
WEB Graphics Studio reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after any modifications constitutes acceptance of the revised Terms.
